CMA LAW: Resolution No. (94) of 2026 Regarding the Cancellation of the Securities Activities License of Rasmeel Investment Company and its Removal from the Licensed Persons Register at the CMA

Having Perused: 
- Law No. 7 of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities and its Executive Bylaws, and their amendments; and 
- The decision of the Extraordinary General Assembly of KFIC Invest Company passed in its meeting on 01/02/2026 on the approval of merger by amalgamation through dissolution of Rasmeel Investment Company and transfer of its liabilities to KFIC Invest Company for the purpose of merger, and notating it in the Commercial Register of the Ministry of Commerce and Industry on 24/03/2026; and
- The decision of the Extraordinary General Assembly of Rasmeel Investment Company passed in its meeting on 08/02/2026 on the approval of merger by amalgamation through dissolution of Rasmeel Investment Company and transfer of its liabilities to KFIC Invest Company for the purpose of merger, and notating it in the Commercial Register of the Ministry of Commerce and Industry 24/03/2026; and
- Based on the Capital Markets Authority’s approval on executing the merger process between each of KFIC Invest Company and Rasmeel Investment Company issued on 14/06/2026; and
- Based on Resolution No. (04) of 2025 regarding the amendment of the approval authorizations for the Supervision Sector's procedures, issued on 12/01/2025.

The Following Was Resolved
Article (1)
The securities activities license of Rasmeel Investment Company is hereby cancelled, and it shall be removed from the licensed persons register at the CMA.

Article (2)
The concerned bodies shall execute this Resolution, each within its jurisdiction. This Resolution shall come into force from 24/03/2026, and it shall be published in the Official Gazette.
