Title: The Capital Markets Authority Holds a 5th Awareness Workshop Regarding its Regulations No. (C.M.A/S.S./C.G./5/2013)
Kuwait, 17th February 2015 – The Capital Markets Authority (CMA) has held a 5th awareness workshop on Tuesday 17/2/2015 in Khaled Al-Kharafi Hall at Kuwait Stock Exchange at 12:30 PM. This workshop is part of the Awareness Workshops Program of the first quarter of 2015.
The workshop was about CMA regulations concerning "Regulating the Dealings in Securities of Board of Directors Members, Executive Staff Members, and Other Insiders in Shareholding Companies, and the Method of Disclosure". The aspects discussed were as follows:
- Who is the Insider?
- Data and material information
- Scope of the Regulations' application
- Issuer's responsibilities
- Insider's Responsibility
- Trading Ban Periods for the Board of Directors members and the Executive staff members
- Insiders' List
- Disclosure (time, method, ….)
- Board of Directors members, their first degree relatives and spouse
The speaker – Director of Disclosure Department – also covered other related issues such as the mechanism of handling the non-compliance cases, and at the end of the workshop the audience's questions and inquiries were answered.
Clarification to Editors:
The Capital Markets Authority was established pursuant to Law No. 7/2010, approved by the Kuwaiti Parliament in February 2010, and amended by Law No. 108/2014. Pursuant to the Law, the Authority shall regulate and supervise the securities activities, achieve transparency and fairness, oblige the listed companies to execute the Corporate Governance Principles, and protect the investors from the unfair practices which violate the Authority's Law.
Furthermore, the Law's provisions stipulate the supervision of the merger, acquisition, and disclosure operations. The Authority also aims at providing awareness programmes related to securities activities.
