Announcement regarding issuance of Disciplinary Board Resolution No. (16/2026 Disciplinary Board) (23/2026 Authority) and imposition of a fine against: Al Maidan Clinic for Oral Health Services Company for violating the Rules of Disclosure and Transparency
For violating the following:
First: the provision of Item (17) of Article (4-1-1) of Module Ten (Disclosure and Transparency) of the Executive Bylaws of Law No. 7 of 2010 and their amendments:
Second: the provision of Article (4-6-3) of Module Ten (Disclosure and Transparency) of the Executive Bylaws of Law No. 7 of 2010 and their amendments:
It was proven to the CMA that Al Maidan Clinic for Oral Health Services Company failed to properly disclose material information at Boursa Kuwait. The two disclosures of the Company, dated October 1 and 2, 2025, did not contain sufficient information and data that allow any person to understand the effect of this material information, with regard to the Company’s acquisition of a company for KWD 5.5 million (five million and five hundred thousand Kuwaiti Dinars) without disclosing in the aforementioned disclosures that the transaction was conducted with a related party, to this date.
The Resolution included the infliction of the following penalty: -
“Levying a fine on Al Maidan Clinic for Oral Health Services Company in an amount of KWD 10,000 (ten thousand Dinars) for the attributed violation.”
In this regard, the CMA emphasizes the implementation of CMA Law and its Executive Bylaws on all persons dealing in securities activities, and urges them to comply with these Laws in order to promote investors' confidence, create a sound investment environment, and implement the Law according to the principles of fairness, transparency, and integrity in line with the best international practice.
